Acceptance of Terms
By accessing xerour.com, submitting a project request, or engaging Xerour for any service, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.
Our Services
Xerour is a digital product and technology studio. We offer, among other services:
- Website and web application development
- Mobile application development (Android, iOS, cross-platform)
- LMS and school management system development
- Custom software, ERP, and CRM solutions
- Game development
- UI/UX design, branding, and digital marketing
The specific scope, deliverables, timeline, and cost of any project are defined in a separate proposal, quote, or agreement between Xerour and the client, which forms part of these terms once accepted.
Project Engagement
Projects typically begin with a request submitted through our website or direct contact, followed by a discovery and scoping phase.
- A written proposal or quote will outline scope, timeline, milestones, and cost before work begins.
- Any changes to agreed scope after project kickoff may affect timeline and cost, and will be discussed before implementation.
- Delivery timelines are estimates based on the information available at the time of quoting and may shift depending on client feedback turnaround, third-party dependencies, or scope changes.
Payments & Refunds
- Projects generally require an upfront deposit before work begins, with the remaining balance billed at agreed milestones or upon completion.
- Invoices are due within the timeframe stated on the invoice unless otherwise agreed in writing.
- Late payments may result in a pause of ongoing work until the outstanding balance is cleared.
- Deposits and payments for work already completed are generally non-refundable. Refund requests for undelivered work will be assessed on a case-by-case basis.
Intellectual Property
Unless otherwise agreed in writing:
- Upon full and final payment, ownership of the final deliverables created specifically for the client's project (source code, designs, and content produced for that project) transfers to the client.
- Xerour retains ownership of pre-existing tools, frameworks, internal libraries, and reusable components used to build the project, and may reuse general know-how and non-confidential techniques in future work.
- Xerour reserves the right to showcase completed projects in its portfolio and marketing materials, unless the client requests confidentiality in writing.
- Any third-party assets, licenses, plugins, or stock content used in a project remain subject to their original license terms.
Client Responsibilities
To deliver projects effectively, we ask clients to:
- Provide timely feedback, content, credentials, and approvals needed to keep the project on schedule.
- Ensure they have the right to use any content, branding, or data they provide to us for a project.
- Review deliverables at each milestone and communicate concerns promptly.
- Comply with applicable laws relevant to their own business and end users, including data protection obligations for any system we build on their behalf.
Confidentiality
Both parties agree to keep confidential any non-public business, technical, or project information shared during the course of an engagement, and to use it only for the purposes of that engagement. This obligation continues after a project is completed or the relationship ends, except where disclosure is required by law.
Warranties & Disclaimers
We aim to deliver high-quality, well-tested work. That said:
- Our website and general services are provided "as is" without warranties of any kind, express or implied, beyond what is explicitly agreed in a project contract.
- We do not guarantee that software will be entirely free of bugs, or that a website, app, or platform will be uninterrupted or error-free at all times.
- Any post-launch bug-fix or support period is defined in the individual project agreement.
Limitation of Liability
To the maximum extent permitted by law, Xerour's total liability arising from any project or use of our website shall not exceed the total amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity, arising from the use of any product or service we deliver.
Termination
Either party may terminate a project engagement with written notice, as specified in the individual project agreement. Upon termination, the client is responsible for payment for all work completed up to the termination date. Xerour will provide any completed deliverables for which payment has been received.
Governing Law
These Terms & Conditions are governed by the laws of India. Any disputes arising from these terms or from a project engagement with Xerour will be subject to the exclusive jurisdiction of the courts of New Delhi, India.
Changes to These Terms
We may revise these Terms & Conditions from time to time. Updates will be posted on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms. Existing project agreements remain governed by the terms in place at the time they were signed, unless both parties agree otherwise.
